Terms of Platform Use

PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY BEFORE USING THIS PLATFORM.

The Citizen Ticket website at www.citizenticket.com , the Citizen Ticket Ticket Wallet app and the Organiser Toolbox app by Citizen Ticket (collectively, the “ Platform ”) are operated by Citizen Ticket Ltd (“ Citizen Ticket ”). Citizen Ticket is registered in Scotland under company number SC454982 with registered office at 63 Dublin Street, Edinburgh, EH3 6NS.

These terms of use (the “ Terms of Use ”), together with the documents referred to in it, informs you of the terms on which you may make use of the Platform. Use of the Platform includes accessing and browsing the Platform and registering for any features of the Platform (such as newsletters).

By using the Platform, you confirm that you accept these Terms of Use and that you agree to comply with them.

If you do not agree to these Terms of Use, you must not use the Platform.

We recommend that you print a copy of these terms for future reference.

Other applicable terms

These Terms of Use refer to the following additional terms, which also apply to your use of the Platform:

  • Citizen Ticket’s Acceptable Use Policy , which sets out the permitted uses and prohibited uses of the Platform. When using the Platform, you must comply with such Acceptable Use Policy;

  • Citizen Ticket’s Privacy Policy , which sets out the terms on which Citizen Ticket processes any personal data that Citizen Ticket collects from you, or that you provide to Citizen Ticket. By using the Platform, you consent to such processing and you warrant that all data provided by you is accurate;

  • Citizen Ticket’s Cookies Policy , which sets out information about the cookies on the Platform;

  • Citizen Ticket’s Terms and Conditions of the Sale of Tickets , if you purchase tickets from the Platform, and which apply to the sales; and

  • Citizen Ticket’s Organiser Terms and Conditions , if you are an event organiser selling tickets on the Platform.

Changes to these terms

Citizen Ticket may revise these Terms of Use at any time by amending this page.

Please check this page from time to time to take notice of any changes Citizen Ticket has made, as they are binding on you.

Changes to the Platform

Citizen Ticket may update and change the Platform from time to time. However, please note that any of the content on the Platform may be out of date at any given time, and Citizen Ticket is under no obligation to update it.

Citizen Ticket does not guarantee that the Platform, or any content on it, will be free from errors or omissions.

Accessing the Platform

The Platform is made available free of charge.

Citizen Ticket does not guarantee that the Platform, or any content on it, will always be available or be uninterrupted. Citizen Ticket may suspend, withdraw, discontinue, restrict the availability of or change all or any part of the Platform for business and operational reasons without notice. Citizen Ticket will not be liable to you if for any reason the Platform is unavailable at any time or for any period.

You are responsible for making all arrangements necessary for you to have access to the Platform.

You are also responsible for ensuring that all persons who access the Platform through your internet connection are aware of these Terms of Use and other applicable terms and conditions, and that they comply with them.

Transfer of this agreement

Citizen Ticket may transfer its rights and obligations under these terms to another organisation. Citizen Ticket will always tell you in writing if this happens and Citizen Ticket will ensure that the transfer will not affect your rights under the contract.

Intellectual property rights

Citizen Ticket is the owner or the licensee of all intellectual property rights in the Platform, and in the material published on it. Those works are protected by various intellectual property laws and treaties around the world. All such rights are reserved.

For the avoidance of doubt, nothing shall affect the ownership of third party intellectual property rights, including but not limited to any content (such as text, graphics, images, photographs, videos, music and sounds) relating to an event uploaded by an event organiser, consumer or other third party to the Platform.

You may print off one copy, and may download extracts, of any page(s) from the Platform for your personal use and you may draw the attention of others within your organisation to content posted on the Platform.

You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

Citizen Ticket’s status (and that of any identified contributors) as the authors of relevant content on the Platform must always be acknowledged.

Unless you can rely on your ownership or any authorisations in place, you must not use any part of the content on the Platform for commercial purposes without obtaining a licence to do so from Citizen Ticket or Citizen Ticket’s official licensors.

If you print off, copy or download any part of the Platform in breach of these Terms of Use, your right to use the Platform will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

No reliance on information on the Platform

The content on the Platform is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on the Platform.

Although Citizen Ticket makes reasonable efforts to update the information on the Platform, it makes no representations, warranties or guarantees, whether express or implied, that the content on the Platform is accurate, complete or up to date.

Limitation of Citizen Ticket’s liability

Nothing in these Terms of Use excludes or limits Citizen Ticket’s liability for death or personal injury arising from the negligence, fraud or fraudulent misrepresentation of Citizen Ticket or its employees, agents or subcontractors, or any other liability that cannot be excluded or limited by English law.

To the extent permitted by law, Citizen Ticket excludes all conditions, warranties, representations or other terms which may apply to the Platform or any content on it, whether express or implied.

Citizen Ticket will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

  • use of, or inability to use, the Platform; or

  • use of or reliance on any content displayed on the Platform.

If you are a business user, please note that in particular, Citizen Ticket will not be liable for:

  • loss of profits, sales, business, or revenue;

  • business interruption;

  • loss of anticipated savings;

  • loss of business opportunity, goodwill or reputation; or

  • any indirect or consequential loss or damage.

If you are a consumer user:

  • Please note that Citizen Ticket only provides the Platform for domestic and private use. You agree not to use the Platform for any commercial or business purposes, and Citizen Ticket has no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.

  • If defective digital content that Citizen Ticket has supplied, damages a device or digital content belonging to you and this is caused by Citizen Ticket’s failure to use reasonable care and skill, Citizen Ticket will either repair the damage or pay you compensation.

Citizen Ticket will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programmes, data or other proprietary material due to your use of the Platform or to your downloading of any content on it, or on any website linked to it.

Citizen Ticket assumes no responsibility for the content of websites linked on the Platform. Such links should not be interpreted as endorsement by Citizen Ticket of those linked websites. Citizen Ticket will not be liable for any loss or damage that may arise from your use of them.

Different limitations and exclusions of liability will apply to liability arising as a result of the supply of any tickets and/or other products or services to you, which will be set out in the applicable terms and conditions of sale and/or supply.

Uploading content to the Platform

Whenever you make use of a feature that allows you to upload content to the Platform, or to make contact with other users of the Platform, you must comply with the content standards set out in the Acceptable Use Policy .

You warrant that any such contribution does comply with those standards, and you will be liable to Citizen Ticket and indemnify Citizen Ticket for any breach of that warranty. This means you will be responsible for any loss or damage Citizen Ticket suffers as a result of your breach of warranty.

Any content you upload to the Platform will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant Citizen Ticket a limited licence to use, store and copy that content and to distribute and make it available to third parties.

Citizen Ticket also has the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to the Platform constitutes a violation of their intellectual property rights, or of their right to privacy.

Citizen Ticket will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of the Platform.

Citizen Ticket has the right to remove any posting you make on the Platform if, in Citizen Ticket’s sole opinion, your post does not comply with the content standards set out in the Acceptable Use Policy .

The views expressed by other users on the Platform do not represent Citizen Ticket’s views or values.

Rights you license to Citizen Ticket

When you upload or post content to the Platform, you grant Citizen Ticket a perpetual, worldwide, non-exclusive, royalty-free, transferable licence to use, reproduce, distribute, prepare derivative works of, display, and perform such content in connection with the service provided by the website and across different media.

Viruses

Citizen Ticket does not guarantee that the Platform will be secure or free from bugs, errors or viruses.

You are responsible for configuring your information technology, computer programmes and platform to access the Platform. You should use your own virus protection software.

You must not misuse the Platform by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Platform, the server on which the Platform is stored or any server, computer or database connected to the Platform. You must not attack the Platform via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. Citizen Ticket will report any such breach to the relevant law enforcement authorities and Citizen Ticket will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Platform will cease immediately.

Linking to the Platform

You may link to the home page of the Platform, provided you do so in a way that is fair and legal and does not damage our reputation, or take advantage of, Citizen Ticket.

You must not establish a link in such a way as to suggest any form of association, approval or endorsement on the part of Citizen Ticket where none exists.

You must not establish a link to the Platform in any website that is not owned by you.

The Platform must not be framed on any other site, nor may you create a link to any part of the Platform other than the home page.

Citizen Ticket reserves the right to withdraw linking permission without notice.

The website in which you are linking must comply in all respects with the content standards set out in the Acceptable Use Policy .

Third party links in the Platform

Where the Platform contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by Citizen Ticket of those linked websites or information you may obtain from them.

Citizen Ticket has no control over the contents of those sites or resources.

Applicable law

If you are a consumer, please note that these Terms of Use, their subject matter and their formation, are governed by English law. The courts of England and Wales will have exclusive jurisdiction except that if you are a resident of Northern Ireland you may also bring proceedings in Northern Ireland, and if you are resident of Scotland, you may also bring proceedings in Scotland.

If you are a business, these Terms of Use, their subject matter and their formation (and any non-contractual disputes or claims) are governed by English law, and the courts of England and Wales shall have exclusive jurisdiction.

Trademarks

Citizen Ticket owns a number of trademarks, including but not limited to:

  • The following UK registered trademarks:

  • Ct” (Figurative), with registration number UK00003089957;

  • Citizen Ticket” (Word), with registration number UK00003186455; and

  • BitTicket” (Word), with registration number UK00003189383.

You are not permitted to use them without Citizen Ticket’s approval, unless they are part of material you are using as permitted under the section headed “Intellectual property rights” above.
